1. Payment and Design/Development Initiation

Full payment is required before any design or development work commences. Clients must submit a brief for any design or development project. The initial designs will be created according to the brief. Revisions are allowed within the scope of the original brief. Additional changes/amendments beyond the specified revisions will be charged at a rate of R100 per hour. If the client's brief changes from the original, additional charges may apply for redesigning.

2. Design Specifications

Clients must provide specific style requirements for stationery designs. Stationery designs will allow for three revisions only. Charges may apply for changes due to incorrectly submitted information. Designs are based on the selected package. Custom designs is provided for basic packages but limited. Once final approval is received, additional changes will be charged accordingly. Refunds are not issued once work has commenced on design or website development.

3. Hosting and Renewals

Basic websites are allocated basic hosting packages with a disk usage of 250MB. If a client outgrows the hosting package, an upgrade is required. Failure to renew hosting within 2 weeks of expiry may result in suspension and eventual deletion of the hosting account and associated data. If a client wishes to transfer their account, they will receive the necessary login details, and the new host is responsible for data backup.

4. Website Packages

All website packages require client to sign a developer contract which details more Terms and Conditions realted to web design. Basic and Standard websites do not include SEO or custom plugins/features. These are separate services and will be quoted separately. If a client outgrows the hosting package, an upgrade is required. Having an existing domain or hosting will not impact web package pricing, as 10 months of hosting is included for free. Promotional packages are limited to specific features and can be changed or canceled at any time. If a client chooses to maintain their own website either personally and/or by using a third party contrary to using our free support and maintenance option, they are responsible for the website and all losses and damages incurred thereafter. If a client prefers their own host, the host is responsible for emails and website functionality after the site is live.

5. Ownership and Intellectual Property

The Client shall retain ownership of all content and materials provided for the project. Upon full payment, the Developer assigns the rights of the completed project to the Client, excluding third-party software or components.

6. Confidentiality

Both parties agree to maintain the confidentiality of all non-public information and shall not disclose sensitive information without prior written consent. In circumstances where either party to this contract disclose said information, the Protection of Personal Information Act (POPI Act 4 of 2013) will apply.

7. Warranty and Support

The Developer warrants that the project will be free from defects and will function as described in the scope of work. However, upon written notice that the delivered project is defective, the developer is entitled to retrieve the project and rectify/repair. The Developer agrees to provide 6 months of post-launch support for bug fixes and technical issues.

8. Termination

Either party may terminate this Agreement with 31 days written notice. Upon termination, the Client shall pay for services rendered up to that point.

9. Indemnification

The Client agrees to indemnify and hold the Developer harmless against any claims, costs, or damages arising from the project.

SPECIAL NOTE

Due to the intricate nature of the services offered by Semtex Agency, no agreement will be finalized without a written contract signed by both the client and an authorized representative of Semtex Agency. Consequently, certain terms and conditions may not be publicly disclosed on this page but will be detailed within the contract. Clients are strongly advised to consult their legal advisors before signing any contracts.
